Nevada Incorporation Services
This
is an important question. In asking this question we also need to
ask, "Why Not Nevada?" Many companies, forming entities
in Nevada, either hype advantages which don’t exist or give out
downright false information. Unfortunately, the
misinformation keeps many from even considering the added
benefits that Nevada may add to their situation. Therefore,
when people mention to their accountants that they are thinking
of incorporating in Nevada, the knee-jerk reaction is, "that
will not work for you, you will not save taxes in Nevada",
or "Nevada will not help you hide your assets".
Then the client will just form an entity in his or her home state
or do nothing at all.
This
would be similar to a new health product being introduced in the
marketplace which has some excellent benefits. Then soon about 20
companies would come along with cheap knock-offs, exaggerating claims
from that of the original, while selling their cheap version based
upon hype. In the thick of things, the original product, which had
some very good benefits, gets swept along with the other inferior
products.
The
key is the ability to listen enough to be able to separate truth
from fiction. The easiest way is to have someone
show you the proof or research with regard to their findings.
This is the only way you can get the facts.
The
real facts are simply this:
- Nevada
is the toughest state in which to pierce the corporate veil
based upon case law over the last 25 years.
- Nevada
has no state corporate income tax which ONLY benefits
companies in Nevada with employees performing work in Nevada.
- Nevada
does not require financial information concerning the company
or names of owners to be listed in state records. But when you
register as a foreign corporation in states where you do business
and have Nexus, typically at some level, usually the business
license level, you will have to disclose the owners of the corporation
or LLC. Typically transferring assets into a corporation and capitalizing
the company leaves a trail back to you. Typically, privacy should
not even be a consideration when forming a Nevada entity.
- You
may also create some jurisdictional strategies concerning
future litigation when your company is formed in Nevada.
- A
majority of companies that promote Nevada companies misstate the
benefits of incorporating in Nevada. They are, at the very least
misleading, because they don’t inform you what will
be different when you register where you do business.
- Finally,
the real discussion, which should take place at the outset, is
which entity may be best in your situation. There are several
aspects to consider.
